Welcome to Rizz Invites.
These Terms of Service (“Terms”) govern your access to and use of Rizz Invites, including our website, invitation creation tools, event pages, RSVP tools, messaging features, artificial intelligence features, and other products and services we make available (collectively, the “Service”).
The Service is owned and operated by Birthday Rizz LLC, a Virginia-based company (“Birthday Rizz,” “Rizz Invites,” “Company,” “we,” “us,” or “our”).
By accessing or using Rizz Invites, creating an account, creating or responding to an invitation, purchasing a product or service, or otherwise using the Service, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
Rizz Invites is a digital invitation and event-management platform.
Depending on the features available at the time, the Service may allow users to:

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account, create an event, purchase services, or otherwise act as a Host.
Guests may interact with invitations without creating an account. If a Guest is a minor, the Guest's use of the Service should be supervised or authorized by a parent or legal guardian where appropriate.
The Service is not directed to children under 13 for independent use.
Certain features may require you to create an account.

You are responsible for activity occurring through your account to the extent permitted by law.
We may refuse registration, reclaim usernames, or suspend accounts when reasonably necessary to protect Rizz Invites, our users, or the Service.
Users who create or manage events are referred to as “Hosts.”
People invited to or responding to events are referred to as “Guests.”
Hosts may provide Rizz Invites with information about Guests, including names, email addresses, and mobile phone numbers.
By providing Guest information to Rizz Invites, you represent and warrant that:
Hosts are responsible for the Guest information they upload and the communications they initiate using the Service.
Rizz Invites may allow Hosts to send invitations, reminders, updates, RSVP communications, and other event-related messages through email or SMS.
By providing a Guest's contact information and requesting that we contact that Guest, you represent that you have a lawful basis and any permissions or consent required to initiate the communication.
You may not use Rizz Invites to send:
Message and data rates may apply to SMS communications.
Where supported, SMS recipients can opt out by replying STOP.
We may restrict messaging activity that appears abusive, fraudulent, unusually high-volume, or inconsistent with legitimate use of the Service.
You may create, upload, submit, generate, or otherwise provide content through Rizz Invites (“User Content”).
User Content may include:
You retain ownership of the User Content you own.
By submitting User Content to Rizz Invites, you grant Birthday Rizz LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, display, transmit, and otherwise use that content only as reasonably necessary to operate, provide, secure, and improve the Service and fulfill your requests.
For example, if you upload an invitation design, you authorize us to store, resize, display, and transmit that design so Guests can receive and view it.
You represent that you have all rights necessary to submit your User Content and permit us to use it as described in these Terms.
Rizz Invites may provide artificial intelligence tools that generate invitation designs, text, images, themes, or other content based on user instructions.
AI-generated content may occasionally:
You are responsible for reviewing AI-generated content before publishing, sending, printing, purchasing, or otherwise using it.
We do not guarantee that AI-generated content is unique.
To the extent permitted by applicable law and subject to any third-party rights, Rizz Invites does not claim ownership of AI-generated output created specifically for you merely because our Service generated it.
You are responsible for ensuring your prompts, uploaded materials, and use of generated content do not infringe the rights of others or violate applicable law.
Except for User Content, the Rizz Invites Service and its associated software, technology, interfaces, designs, branding, logos, templates, graphics, databases, and other materials are owned by or licensed to Birthday Rizz LLC and are protected by applicable intellectual property laws.
These Terms give you a limited, non-exclusive, non-transferable, revocable right to use Rizz Invites for its intended purposes.
You may not, except as permitted by law or with our written permission:
Nothing in these Terms transfers ownership of Rizz Invites intellectual property to you.
Rizz Invites may provide templates, example invitations, graphics, fonts, layouts, or other design materials.
Your purchase or use of an invitation does not transfer ownership of the underlying Rizz Invites software, template system, design library, or other intellectual property.
You receive the right to use the resulting invitation for the event or purposes permitted by the applicable product or Service.
You agree not to use Rizz Invites to:
We may investigate suspected violations and suspend or terminate access where appropriate.
Certain Rizz Invites features may be free while others may require payment.
Prices, guest limits, features, and other purchase terms will be displayed at or before checkout.
By completing a purchase, you authorize us and our payment processor to charge the payment method you provide for the amount displayed at checkout, including applicable taxes or fees.
We may change prices for future purchases at any time.
A price change will not retroactively alter a purchase you have already completed.
Some Rizz Invites products may be offered as subscriptions or automatically renewing services.
If you purchase an automatically renewing product, the renewal terms, price, billing frequency, and method of cancellation will be disclosed to you before you complete the purchase.
By affirmatively purchasing an automatically renewing product, you authorize the applicable recurring charges until you cancel in accordance with the terms presented at purchase.
Where required by law, we will provide renewal notices, cancellation mechanisms, and notices of material changes to subscription terms.
Unless expressly identified as automatically renewing at checkout, a one-time Rizz Invites purchase does not automatically renew.
Except where otherwise stated at checkout or required by law, purchases of digital Rizz Invites products and services are non-refundable once the applicable digital product or paid functionality has been provided or used.
We may, in our discretion, issue refunds, credits, or other accommodations in exceptional circumstances.
Nothing in this section limits rights that cannot legally be waived.
Rizz Invites may allow users to purchase, send, receive, or link to gifts, gift cards, registries, or other products and services.
Some products may be provided or fulfilled by third parties.
When a third party provides a product or service, additional terms from that provider may apply.
Unless expressly stated otherwise, Birthday Rizz LLC is not the manufacturer, issuer, or fulfillment provider of third-party products and is not responsible for matters controlled exclusively by those providers.
Rizz Invites may participate in affiliate marketing programs and may earn a commission or other compensation when users click on or make purchases through certain links on our website, including links appearing in wishlists, registries, gift recommendations, blog posts, guides, and other content. When a host or user adds a link to a product, gift card, retailer, marketplace, or other third-party website, Rizz Invites may automatically append, replace, or otherwise modify the link to include an affiliate tag, tracking parameter, referral code, or similar identifier. This may include links to Amazon and other participating retailers or services. Such modifications generally do not change the price paid by the purchaser. By using Rizz Invites, hosts and users acknowledge and agree that submitted or displayed third-party links may be converted into affiliate links and that Rizz Invites may receive compensation from resulting clicks, purchases, or other qualifying activity.
Rizz Invites does not control third-party retailers, products, pricing, availability, fulfillment, returns, warranties, or other terms associated with purchases made through affiliate links. Any transaction with a third-party retailer or service is between the purchaser and that third party and is subject to the third party's applicable terms and policies. The presence of an affiliate link does not necessarily constitute an endorsement or guarantee of the applicable product, retailer, or service. Affiliate relationships may change from time to time, and Rizz Invites is not obligated to identify the amount of commission or compensation received from any particular transaction.
Rizz Invites relies on third-party providers to operate portions of the Service, including infrastructure, payment processing, communications, analytics, and other technology.
The Service may also contain links to third-party websites or services.
We are not responsible for the content, availability, security, or practices of third-party websites or services that we do not control.
Your use of third-party services may be governed by their own terms and privacy policies.
Our collection and use of personal information is described in our Privacy Policy.
By using Rizz Invites, you acknowledge that information will be handled as described in that policy.
Birthday Rizz LLC does not sell Guest lists, email addresses, or phone numbers.
We work to keep Rizz Invites available and functioning properly, but we do not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable because of:
We may modify, suspend, or discontinue portions of the Service where reasonably necessary.
Rizz Invites provides tools for creating and managing invitations and events.
Birthday Rizz LLC is not an event organizer, venue, caterer, transportation provider, security provider, or other event-service provider merely because an event uses Rizz Invites.
Hosts are solely responsible for their events, including:
Rizz Invites does not guarantee that an event will occur or that information supplied by a Host is accurate.
Rizz Invites may allow Guests to submit dietary preferences, allergies, or other food-related information to Hosts.
Rizz Invites merely facilitates transmission of this information.
We do not independently verify allergy information and are not responsible for food preparation, ingredient selection, catering decisions, cross-contamination, or other food-related matters.
Hosts and Guests should communicate directly with the applicable venue, caterer, or food provider regarding serious allergies or dietary requirements.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIZZ INVITES AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
BIRTHDAY RIZZ LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR MEET EVERY USER'S REQUIREMENTS.
Some jurisdictions do not permit certain warranty exclusions, so some of these exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIRTHDAY RIZZ LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICE.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, OR DAMAGES RESULTING FROM AN EVENT, THIRD-PARTY SERVICE, USER CONTENT, OR COMMUNICATION SENT THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIRTHDAY RIZZ LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO RIZZ INVITES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
These limitations apply regardless of the legal theory on which a claim is based.
Some jurisdictions do not permit certain limitations of liability, so these limitations apply only to the extent permitted by applicable law.
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Birthday Rizz LLC and its members, managers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:
This obligation does not apply to claims resulting solely from Birthday Rizz LLC's own unlawful conduct.
You may stop using Rizz Invites at any time.
We may suspend, restrict, or terminate your access if we reasonably believe:
Where practical, we may provide notice before termination, but we are not required to do so where immediate action is reasonably necessary.
Sections that by their nature should survive termination will continue to apply.
These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles.
Nothing in these Terms deprives a consumer of protections that cannot be waived under applicable law.
Before filing a lawsuit, you and Birthday Rizz LLC agree to make a reasonable good-faith effort to resolve the dispute informally.
You may initiate informal resolution by contacting:
If a dispute cannot be resolved informally, then, to the extent permitted by applicable law, the state and federal courts located in or serving Fairfax County, Virginia shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you and Birthday Rizz LLC consent to personal jurisdiction and venue in those courts.
Nothing in this section prevents either party from bringing an eligible claim in small claims court.
Nothing in these Terms limits any consumer right or remedy that cannot lawfully be waived.
Rizz Invites will evolve over time.
We may add, remove, modify, or discontinue features, integrations, pricing plans, or functionality.
Where a change materially affects a paid product you have already purchased, we will comply with applicable law and any commitments made at the time of purchase.
We may update these Terms from time to time.
When we do, we will update the Effective Date at the top of the Terms.
For material changes, we may provide additional notice where appropriate or required by law.
Your continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
By using Rizz Invites, you agree that we may provide notices and other communications electronically where permitted by law, including through the Service or by email.
Certain communications may require separate consent under applicable law.
You may not assign your rights or obligations under these Terms without our prior written consent.
Birthday Rizz LLC may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Rizz Invites business.
If any provision of these Terms is found unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable where permitted by law.
The remaining provisions will remain in effect.
